RESOLVE VENTURES ANNOUNCES PRIVATE PLACEMENT
VANCOUVER, BRITISH COLUMBIA – FEBRUARY 11, 2019 – Resolve Ventures Inc. (TSX-V: RSV) (the “Company”) announces a private placement of up to 3,000,000 units(the “Units”) of the Company at $0.075 per Unit for gross proceeds of up to $225,000 (the “Offering”).
Each Unit is comprised of one common share and one transferable share purchase warrant, with each warrant entitling the holder to purchase one additional common share of the Company for a period of up to 60 months at a price of $0.10.
All securitiesissued in connection with the Offering will be subject to a hold period expiring four months and one day after closing. Proceeds from the Offering are expected to be used for general working capital purposes. Finder’s fees may be paid in connection with the Offering.
