RESOLVE VENTURES ANNOUNCES PRIVATE PLACEMENT

Resolve Ventures Inc. has arranged a private placement to raise up to $320,000. The offering will comprise up to four million units at a price of eight cents per unit. Each unit will comprise one common share and one transferable warrant, with each warrant being exercisable for the purchase of one additional common share for a period of two years at a price of 15 cents per share.

The company plans to expend the proceeds of the private placement on the Connell Mountain copper property and for general working capital purposes.

The company may pay finders' fees in connection with the private placement.
